Our terms and conditions

APPLICATION

1.1 The person or the company who/which orders orally or in writing the work is deemed to be the client and guarantees that the invoice shall be paid and that the relevant contractual obligations shall be complied with.

1.2 The present conditions supersede the client's conditions, even if the latter provide that they shall be the sole applicable conditions.

1.3 Parties cannot derogate from the present conditions if they have not agreed to do so in writing and by signing an agreement providing such derogation.

ORDER

2. When the client provides the company with a work document, a design or a model and asks the company to realize a project, such client gives a committing order to the company. If the client were to decide to stop the project or to delay such project, he would be obliged to pay the company for the expenses borne by the company and to render the project to the company.

3. The company's price o􀀣ers are only binding if they have been accepted within 15 days from the date of such o􀀣er, and only if the client does not modify any element that has been taken into account to determine the price and if the company can begin the work within 15 days from accepting the o􀀣er. By accepting the o􀀣er, the client accepts all the present general conditions and the specific conditions of the offer.

INTELLECTUAL PROPERTY RIGHTS

4.1.a. Copyright is retained by the company on all the creations, as for example, the projects, models, designs, drafts, illustrations, interpretations, dispositions, typographic compositions and photography shooting techniques.

4.1.b. The working documents such as the photography material, the clean versions, typographic compositions, photos, films, plaques etc... prepared by the company are considered as being its property.

4.1.c. The client cannot be provided with the elements mentioned under paragraphs 4.1.a. and 4.1.b.

4.2. The company only authorises the client to reproduce the work in the number of copies and for the use speci􀀪ed in the offer. The company's prior agreement is required for any further copies, use or imitation of the work.

4.3. The client does not acquire any exclusivity on the copyrights of the company.

4.4. No part of the work may be reproduced, duplicated or imitated in any form or by any process.

4.5. Even if the Company send an invoice for any design or graphic or photographic material to the client, all the above provisions will stay in force for the rest of the work that have been ordered.

4.6. Even if the company tolerates, even during a long period of time, the utilisation of the creations and / or the material of the company, without the speci􀀪c intervention from the company, this does not imply any cession of copyrights by the company.

4.7. In the event of violation of any of above-mentioned obligations, the client shall pay EUR 7.500 to the company as damages, without prejudice to the company's right to claim compensation for any proven damages in excess thereof that it suffered or the company's right to demand the correct execution of these obligations.

4.8. The client agrees upon the fact that the company signature shall be mentioned on all the company's creations.

5. In the absence of specifications from the client, the company can choose the policy and the layout of the work.

DEADLINE

6.1. The deadlines provided by the company are for information purposes only. The client can therefore not refuse the work or claim damages in the event of delay.

6.2. The deadlines are deferred during the period of time the client does not provide the company with the necessary materials and documents.

6.3. If the client were to ask for an earlier deadline than the usual or agreed deadline for the work to be provided by the company, the company could invoice a supplement to the client.

COMPLAINTS

7.1. A complaint has to be made to the company within 8 days after the work is submitted to the client.

7.2. The only complaints that shall be taken into account by the company have to be made by registered letter and within the deadline provided in article 7.1.

SHIPMENT AND DISCLAIMER

7.3. By using the totality or even a part of the work, the client acknowledges that the work has been duly completed.

8.1. The company is not obliged to keep the photography material, the clean versions, typographic compositions, photos, movies, plaques etc..., even if they are the property of the client or a third party.

8.2 The company is not responsible for any loss of the object that have to be pictured or any other materials provided by the client to the company even if such objects are kept in the company?s o􀀶ces. In other words, the company is not responsible for any loss or damage. In this respect, the client has to subscribe to a special insurance or to agree with the company upon special or derogatory terms and conditions. Such provision also applies for the work carried out by the company and for materials that have to be delivered to the client.

8.3. All the materials that have to be used in the company's office have to be delivered, carried and taken back by the client.

9. In all circumstances, the goods are travelling under the responsibility of the client.

10.1. Expenses linked to the projects and the pictures can at any time be invoiced to the client on a separate invoice even if they are part of a global order.

10.2. Partial deliveries are also invoiced on a separate invoice.

PAYMENT

11. Unless otherwise agreed, the invoices have to be paid by wire transfer to the bank account Bel􀀪us 779-5936307-38. The currency is EUR and the payment has to be made by the agreed deadline. In case of non or late payment, an annual interest rate of 12% on the outstanding amount shall be further owed by the client without further notice from the company.

12. In the event an invoice is not paid during 10 days, as from its due date, the outstanding amount shall be increased by application of an interest rate of 15%, with a minimum of EUR 50, without further notice from the company.

13. In case of non or late payment, the company shall be entitled to suspend all its obligations resulting from the contract, without providing any further notice.

14. Any dispute arising between the Parties shall be exclusively submitted to the courts of Liège.

COLLECTED DATA

  • Daily commercial management

    Within the framework of the commercial relationship that we maintain with our customers, we have various types of personal and professional data at our disposal (company name, name and surname of a contact person in the company with whom we deal, telephone number, email address, address, files). These data are only used for professional purposes and are necessary for our daily management. Among other things, they allow us to encode your offers and invoices.

  • Website

    You have free access to our website. You do not need to provide any personal information to browse it.

  • Google Analytics

    The MIYSIS SRL website uses Google Analytics, a service developed by Google Inc. to anonymously analyse user behaviour and thus improve the user experience. Cookies are only used in this context. For more information on this subject, you can consult Google's RGPG.

  • Email management

    The information contained in the emails we receive is only accessible to Miysis staff. The email boxes we use are secured by Google. Again, this information is only used for our projects, communication or recruitment purposes.

DATA SECURITY

Whatever personal data we handle, we have put in place procedures as well as organizational and technical measures to protect it as well as our own data. This information, as well as our website, is stored on a secure server.
